Terms of Service
These Terms of Service govern access to and use of the Scholars Consult platform, including all hosted modules, support services, and related websites.
1. Acceptance of terms
By creating an account, accessing, or using Scholars Consult, you agree to these Terms of Service and our Privacy Policy. If you are accepting these terms on behalf of a school or organization, you represent that you have authority to bind that entity.
2. Services and account responsibilities
- You must provide accurate registration, billing, and administrative information.
- You are responsible for user management, credential security, and account activity under your tenant.
- You agree to use the service in compliance with applicable laws, school regulations, and these terms.
3. Subscription plans, billing, and payments
- Paid features, limits, and billing cycles are defined by the active subscription plan selected by the customer.
- Fees are payable in advance unless otherwise stated in writing.
- Late or failed payments may result in feature restrictions, service suspension, or account deactivation after notice.
- Unless required by law, fees already paid are non-refundable after service delivery begins.
4. Messaging and consent responsibilities
Where the platform is used for SMS or related communications, customers must ensure lawful messaging practices, including recipient consent management, opt-out handling, and compliance with applicable communications and data protection laws in Ghana.
5. Acceptable use
You must not misuse the service. Prohibited activities include unauthorized access attempts, interference with platform availability, malicious code injection, unlawful messaging practices, and any use that violates rights of students, parents, staff, or third parties.
6. Customer data and ownership
The school retains ownership of its customer data. Scholars Consult receives limited rights to process that data solely for service operation, support, security, backups, and legal compliance.
Customers are responsible for ensuring they have legal authority to upload and process personal data on the platform, including compliance with applicable obligations under Ghana's Data Protection Act, 2012 (Act 843).
7. Confidentiality
Each party agrees to protect the other party's confidential information and not disclose it except as required for service performance, legal obligations, or with prior written consent.
8. Intellectual property
Scholars Consult and its licensors retain all rights to the platform, software, branding, documentation, and improvements. These terms do not transfer ownership of platform intellectual property to customers.
9. Service availability and changes
We strive for reliable service and may perform updates, maintenance, and improvements. We may modify features, provided such changes do not materially reduce core subscribed functionality without reasonable notice.
10. Third-party services
Certain integrations (for example, payment gateways and messaging providers) may be offered through third parties and are subject to their separate terms, uptime, and policies.
11. Suspension and termination
- We may suspend or terminate access for material breach, unlawful activity, security risks, or non-payment.
- Customers may terminate according to their subscription terms or by written notice where no minimum term applies.
- Upon termination, platform access may be removed and data handling will follow retention and deletion policies.
12. Warranties disclaimer
Except as expressly stated, the service is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the extent permitted by law, Scholars Consult will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Aggregate liability is limited to fees paid by the customer for the service in the period preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Scholars Consult from claims, damages, liabilities, and costs arising from your misuse of the service, violation of law, or breach of these terms.
15. Governing law and dispute resolution
These terms are governed by applicable laws of Ghana, unless mandatory local law requires otherwise. The parties will first attempt good-faith resolution, then proceed to competent courts or agreed dispute resolution channels.
Data protection complaints may also be escalated to the Data Protection Commission of Ghana where applicable.

- Cybersecurity Act, 2020 (Act 1038), where applicable.
- Applicable tax, consumer protection, and sector-specific education regulations in Ghana.

17. Changes to these terms
We may update these terms from time to time. Material changes will be posted with an updated effective date. Continued use of the service after the update takes effect constitutes acceptance of the revised terms.
